Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Teambrite platform (the "Service") operated by New Era Grafix Inc. ("Company", "we", "us", or "our").

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Teambrite is an employee recognition and rewards platform that allows companies to issue spendable dollar:dollar credit to their employees for various achievements and milestones. The platform operates on a payment trust system where credit may be issued to employees before the company's payment is processed.

3. Payment Terms

3.1. Companies using the Service agree to pay all fees and charges associated with their account on time and according to the payment terms established during onboarding.

3.2. The Company operates on a trust-based system where employee credits may be issued before payment is received. By using the Service, companies explicitly agree to honor all payment obligations for credits issued.

3.3. Failure to pay any amounts owed when due constitutes a material breach of these Terms.

3.4. In the event of non-payment, companies agree to pay:

• All outstanding balances in full
• Any legal fees incurred in collecting the debt
• All costs associated with debt collection
• Interest on outstanding balances at the maximum rate permitted by law

4. Legal Action and Jurisdiction

4.1. Any disputes arising from these Terms or the Service will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

4.2. You agree that the courts of London, Ontario shall have exclusive jurisdiction over any legal action or proceeding arising from these Terms or the Service.

4.3. In the event of any breach of these Terms, particularly regarding non-payment, you agree that:

• The Company has the right to take immediate legal action to recover any amounts owed
• You will be responsible for all legal fees and costs incurred by the Company in enforcing these Terms
• The Company may report payment defaults to credit bureaus and other relevant authorities

5. Account Terms

5.1. You must provide accurate, complete, and current information for all accounts created on the Service.

5.2. You are responsible for maintaining the security of your account and password.

5.3. You must notify us immediately of any unauthorized access to or use of your account.

6. Service Modifications

6.1. We reserve the right to modify or discontinue the Service at any time, with or without notice.

6.2. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

7. Limitation of Liability

7.1. The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

7.2. In no event shall our total liability exceed the amounts paid by you to us in the twelve months preceding the incident giving rise to the liability.
